Confidential Information does NOT include information that: (i) is or becomes publicly available without breach of this Agreement; (ii) was known to the Receiving Party prior to disclosure, as evidenced by written records; (iii) is lawfully received from a third party without restriction; (iv) is required to be disclosed by applicable law, court order, or regulatory authority — provided the Receiving Party gives prompt written notice to the Disclosing Party where legally permitted. 3. OBLIGATIONS OF THE RECEIVING PARTY The Receiving Party agrees to: (a) Keep all Confidential Information strictly confidential using at least the same degree of care as it uses for its own confidential information, but in no event less than reasonable care; (b) Not disclose Confidential Information to any third party without the prior written consent of the Disclosing Party; (c) Use Confidential Information solely for the Purpose; (d) Disclose Confidential Information only to its employees, directors, advisers, or contractors who have a need to know for the Purpose and who are bound by confidentiality obligations at least as protective as this Agreement; (e) Notify the Disclosing Party promptly upon becoming aware of any unauthorised disclosure or use of Confidential Information. 4. TERM This Agreement shall commence on the date first written above and continue for [3] years, unless terminated earlier by either Party on [30] days' written notice. Obligations of confidentiality shall survive termination for a period of [5] years. 5. RETURN OF MATERIALS Upon the Disclosing Party's written request, the Receiving Party shall promptly return or destroy all Confidential Information (in all forms) and certify such destruction in writing. 6. NO LICENCE Nothing in this Agreement grants the Receiving Party any licence, right, title or interest in the Confidential Information or any intellectual property of the Disclosing Party. 7. REMEDIES AND LIABILITY The Parties acknowledge that breach of this Agreement may cause irreparable harm for which monetary damages may be inadequate. The Disclosing Party shall be entitled to seek injunctive relief (előzetes intézkedés iránti kérelem) in addition to other remedies available under Hungarian law. Liability for breach shall be governed by Act V of 2013 (Ptk.) §§ 6:142–6:152. 8. GOVERNING LAW AND JURISDICTION This Agreement shall be governed by and construed in accordance with the laws of Hungary. Any dispute arising in connection with this Agreement shall be subject to the exclusive jurisdiction of the Hungarian courts [or: submitted to arbitration before the Permanent Court of Arbitration attached to the Hungarian Chamber of Commerce and Industry (MKIK) under its Rules]. 9. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between the Parties regarding its subject matter and supersedes all prior discussions and agreements. Amendments must be in writing and signed by both Parties. 10. SEVERABILITY If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force. AZ ÁTVEVŐ FÉL KÖTELEZETTSÉGEI Az Átvevő Fél kötelezettséget vállal arra, hogy: (a) a Bizalmas Információt legalább saját bizalmas adataira alkalmazott gondossággal, de minden esetben ésszerű gondossággal kezeli; (b) az Átadó Fél előzetes írásbeli hozzájárulása nélkül harmadik félnek nem adja át; (c) a Bizalmas Információt kizárólag a Cél megvalósítása érdekében használja; (d) a Bizalmas Információt csak olyan munkavállalóinak, vezető tisztségviselőinek, tanácsadóinak vagy alvállalkozóinak hozza tudomására, akiknek arra a Cél érdekében szükségük van és akiket legalább e Megállapodással egyenértékű titoktartási kötelezettség terhel; (e) az Átadó Felet haladéktalanul értesíti, ha tudomást szerez a Bizalmas Információ jogosulatlan felhasználásáról vagy nyilvánosságra hozataláról. 4. IDŐTARTAM E Megállapodás a fent megjelölt napon lép hatályba és [3] évig marad érvényben, kivéve, ha bármelyik Fél [30] napos előzetes írásbeli felmondással korábban megszünteti. A titoktartási kötelezettség a megszűnést követő [5] évig hatályban marad. 5. ANYAGOK VISSZASZOLGÁLTATÁSA Az Átadó Fél írásbeli kérésére az Átvevő Fél haladéktalanul visszaszolgáltatja vagy megsemmisíti a Bizalmas Információ minden hordozóját (minden formában) és a megsemmisítést írásban igazolja. 6. SZELLEMI TULAJDON E Megállapodás az Átvevő Félnek semmilyen licence jogot, tulajdonjogot vagy más jogot nem biztosít a Bizalmas Információval vagy az Átadó Fél szellemi tulajdonával kapcsolatban. 7. JOGORVOSLAT ÉS FELELŐSSÉG A Felek elismerik, hogy e Megállapodás megsértése olyan jóvátehetetlen kárt okozhat, amelyre a pénzbeli kártérítés nem nyújt megfelelő orvoslatot. Az Átadó Fél a pénzbeli kártérítés mellett előzetes intézkedés iránti kérelmet is benyújthat. A felelősséget a Polgári Törvénykönyvről szóló 2013. évi V. törvény (Ptk.) 6:142–6:152. §-ai szabályozzák. 8. ALKALMAZANDÓ JOG ÉS ILLETÉKESSÉG E Megállapodásra a magyar jog az irányadó. A Megállapodással összefüggő minden vitát a magyar bíróságok kizárólagos illetékessége alá bocsátják a Felek [vagy: a Magyar Kereskedelmi és Iparkamara mellett szervezett Állandó Választottbíróság szabályzata alapján választottbírósági úton rendeznek]. 9. TELJES MEGÁLLAPODÁS E Megállapodás az összes korábbi tárgyalást és megállapodást felváltva a Felek teljes megállapodását képezi. Módosítás csak írásban, mindkét Fél aláírásával érvényes. 10. RÉSZLEGES ÉRVÉNYTELENSÉG Ha e Megállapodás bármely rendelkezése érvénytelennek vagy végrehajthatatlannak bizonyul, a többi rendelkezés változatlanul érvényes marad. Frequently Asked Questions — Hungarian NDAs

Is an NDA legally enforceable in Hungary?

Yes. NDAs (titoktartási megállapodás) are governed by the Hungarian Civil Code (Act V of 2013 — Ptk.), specifically §§ 6:77–6:81 on confidentiality obligations. The Act LIV of 2018 on Trade Secrets (Üzleti Titok Törvény) implements EU Directive 2016/943 and provides additional protection for qualifying trade secrets. Hungarian courts routinely enforce NDAs; breach gives rise to damages under Ptk. §§ 6:142–6:152.

Does a Hungarian NDA need to be notarised?

No — standard NDAs in Hungary do not require notarisation or an ügyvédi countersignature. They are enforceable as ordinary written contracts under the Ptk. Electronic signatures are valid under Act CCXXII of 2015 on Electronic Administration (e-ügyintézési törvény). For enforcement in foreign courts, a certified translation and apostille under the 1961 Hague Convention may be required.

What is the penalty for breaching an NDA in Hungary?

Under Ptk. §§ 6:142–6:152, the innocent party may claim: (1) actual damages (tényleges kár + lost profits elmaradt haszon); (2) the breaching party's unjust enrichment; or (3) a contractual penalty (kötbér) if specified. Hungarian courts apply the full-compensation principle (teljes kártalanítás elve). An injunction (előzetes intézkedés) is available under Act CXXX of 2016 on Civil Procedure (Pp.) § 156.

  • Bar registration number (kamarai szám): Verify the ügyvéd is registered at magyarugyvedikamara.hu — online search is free
  • Scope is specific: Vague retainers lead to disputes. Ensure exactly what is included and excluded is written out
  • VAT (ÁFA) treatment: Confirm whether fees are quoted inclusive or exclusive of 27% ÁFA — significant for business clients
  • KYC/AML compliance: Under the 2017 Money Laundering Act (Pmt.), lawyers must verify your identity. This is mandatory, not optional
